1. Acceptance of Terms
By accessing and using our website and services, including any digital marketing, SEO, PPC, content creation, or consulting services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using or accessing our website and Services.
2. Services Offered
Grow My Clicks provides digital marketing and consulting services, which may include, but are not limited to:
a. Search Engine Optimization (SEO)
b. Pay-Per-Click (PPC) Advertising Management
c. Social Media Marketing
d. Content Strategy and Creation
e. Website Analytics and Reporting
f. Consulting and Training
2.1. Service Scope: The specific services, deliverables, fees, and term length will be detailed in a separate, written Service Agreement or Statement of Work (SOW) executed between Grow My Clicks and the Client. In the event of a conflict between these Terms and the SOW, the SOW will prevail concerning service specifics and pricing.
2.2. Service Guarantees and Disclaimer: Grow My Clicks does not guarantee specific results (e.g., specific ranking positions, traffic levels, or conversion rates). Digital marketing performance depends on algorithms, market conditions, and competition outside our control. We utilize best practices and commercially reasonable efforts to deliver the Services as outlined in the SOW.
3. Client Obligations
3.1. Cooperation: The Client agrees to provide timely access to all necessary resources, accounts (e.g., Google Analytics, Google Ads, CMS login credentials), and information required for Grow My Clicks to perform the Services. Delays caused by the Client's failure to provide necessary access or content will not extend the agreed-upon contract term unless mutually agreed upon in writing.
3.2. Authorization: The Client warrants that they have the necessary rights and authority to provide Grow My Clicks with access to their intellectual property, websites, and third-party advertising or analytics accounts for the purpose of executing the Services.
3.3. Content: The Client is solely responsible for the accuracy, legality, and compliance of all content, materials, and data provided to Grow My Clicks. The Client will indemnify and hold Grow My Clicks harmless against any claims arising from the content provided by the Client.
4. Payment, Billing, and Refunds
4.1. Fees: The Client agrees to pay all fees for the Services as specified in the executed SOW. Fees are typically invoiced monthly, unless otherwise agreed.
4.2. Payment Terms: All invoices are due and payable within 1 days of the invoice date. Late payments may incur interest charges at the rate of 1.5% per month or the highest amount allowed by law.
4.3. Refunds: All service fees are non-refundable, except as expressly stated otherwise in the SOW or as required by applicable consumer protection laws.
4.4. Third-Party Costs: All costs related to third-party advertising platforms (e.g., Google Ads, Facebook Ads) or necessary software subscriptions are the sole responsibility of the Client, unless explicitly stated otherwise in the SOW.
5. Intellectual Property (IP) and Ownership
5.1. Client IP: The Client retains all right, title, and interest in and to their pre-existing intellectual property, including trademarks, content, and website data.
5.2. Agency IP: Grow My Clicks retains all right, title, and interest in and to all proprietary tools, methods, technologies, templates, and general know-how used to perform the Services.
5.3. Deliverables: Unless otherwise specified in the SOW, upon full payment for the Services, any unique creative content (e.g., blog posts, ad copy, custom graphic designs) produced specifically for the Client and delivered as part of the Services will be owned by the Client.
6. Confidentiality
Both parties agree to treat all business, financial, technical, and other non-public information received from the other party as confidential. Neither party will disclose or use the other party's confidential information except as necessary to perform the Services or as required by law.
7. Disclaimers and Limitation of Liability
7.1. Website Disclaimer: The content on the Grow My Clicks website is provided "as is." Grow My Clicks makes no warranties, expressed or implied, and hereby disclaims all other warranties, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property.
7.2. Limitation of Liability: In no event shall Grow My Clicks or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Grow My Clicks' website, even if Grow My Clicks or an authorized representative has been notified orally or in writing of the possibility of such damage.
7.3. Total Liability: In no event shall the total aggregate liability of Grow My Clicks to the Client for all claims arising out of or relating to these Terms or the Services exceed the total amount paid by the Client to Grow My Clicks for the Services during the three (3) months immediately preceding the date the claim arose.
8. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of The United States of America, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Services shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association (or equivalent local association).
9. Termination
9.1. Termination by Client: The Client may terminate the Services as specified in the SOW. If no provision is made, the Client may terminate with 30 days written notice. Termination may subject the Client to an early termination fee, as defined in the SOW.
9.2. Termination by Grow My Clicks: We may suspend or terminate the Services immediately if the Client breaches any term of this agreement, including failure to pay undisputed invoices within 10 days of the due date.
10. Miscellaneous
10.1. Entire Agreement: These Terms, together with the executed SOW, constitute the entire agreement between you and Grow My Clicks regarding the Services.
10.2. Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.
10.3. Changes to Terms: Grow My Clicks reserves the right to revise these Terms at any time by posting the revised Terms on its website. Your continued use of the website or Services after any such change constitutes your acceptance of the new Terms.
